Terms and Conditions for TixFlo and OrderUp

By creating an account, purchasing a ticket, placing an order, or otherwise using the Services, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization.

We may update these Terms from time to time. Continued use of the Services after changes are posted constitutes acceptance of the revised Terms.

TixFlo provides tools for event organizers to create events, sell tickets online and at the gate, check in guests with QR codes, and manage orders. OrderUp is an optional add-on service that allows event attendees to place concession, merchandise, or other on-site orders from a mobile device and receive pickup notifications.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use or security breach. We are not liable for losses caused by your failure to keep your account secure.

Event organizers are solely responsible for the events they create, including event descriptions, pricing, refund policies, attendee communications, venue access, safety, and compliance with applicable laws. TixFlo is a technology platform and is not responsible for the quality, safety, or legality of any event.

Organizers must accurately represent their events, honor ticket sales, and fulfill any OrderUp items they offer. False, misleading, or fraudulent events are prohibited.

When you purchase a ticket through TixFlo, you are buying directly from the event organizer. TixFlo processes the transaction on the organizer's behalf using supported payment processors such as Stripe or Square.

All ticket sales are subject to the organizer's refund and cancellation policy. TixFlo does not guarantee refunds unless required by law or explicitly agreed to by the organizer. QR tickets and access links must not be shared, sold, or transferred unless permitted by the organizer.

OrderUp allows you to place orders for concession or merchandise items available at an event. By placing an order, you authorize payment and agree to pick up the order at the designated location when notified.

Items may become unavailable after an order is placed. If an item cannot be fulfilled, the organizer or TixFlo may cancel the item or offer a refund or replacement according to the organizer's policy. You will be notified via the contact method you provided.

Program: TixFlo OrderUp SMS/MMS notifications.

Description: When you place an OrderUp order and provide a U.S. mobile phone number, you may opt in to receive text messages about your order. This includes an order-confirmation message and a pickup-ready message containing a QR code. Message frequency varies based on your order activity (typically no more than a few messages per order).

Opt-in: Consent to receive SMS/MMS messages is collected at checkout through an unchecked opt-in checkbox. No purchase is required to opt in. You must provide your own phone number and may not sign up another person without their consent.

Opt-out: You may opt out at any time by replying STOP to any message. After you reply STOP, you will receive a confirmation message and no further marketing or order-related texts unless you opt back in.

Rates: Message and data rates may apply according to your wireless carrier plan.

Privacy: Mobile opt-in consent and phone numbers collected for messaging are not shared with third parties for marketing purposes. See our Privacy Policy for more details.

Supported carriers: Carriers are not liable for delayed or undelivered messages. Delivery is subject to your carrier's coverage and device availability.

TixFlo charges service fees for ticket sales and order processing, which may be paid by the organizer, passed to the buyer, or absorbed into the ticket price. All fees are displayed before checkout. Payment processing is handled by third-party processors; their terms and privacy policies apply.

Refunds are issued by the event organizer or through our payment processors in accordance with the organizer's refund policy. TixFlo fees are generally non-refundable unless the transaction is reversed due to fraud, a chargeback, or a mutual agreement to cancel.

You may not use the Services to violate any law, infringe intellectual property rights, distribute malware, send spam, harass others, commit fraud, or interfere with the operation of the Services. We may suspend or terminate accounts that violate these rules.

TixFlo and its licensors own all rights to the Services, including software, designs, trademarks, and content. You retain ownership of content you submit, but you grant TixFlo a license to use that content as needed to operate and promote the Services.

The Services are provided “as is” without warranties of any kind, either express or implied. We do not guarantee that the Services will be uninterrupted, error-free, or secure.

To the maximum extent permitted by law, TixFlo is not liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenue, arising out of or related to your use of the Services. Our total liability for any claim is limited to the amount you paid to TixFlo for the transaction giving rise to the claim, or $100, whichever is greater.

You agree to indemnify and hold harmless TixFlo and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses arising out of your use of the Services, your violation of these Terms, or your violation of any third-party rights.

We may suspend or terminate your access to the Services at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, organizers, or TixFlo. Upon termination, your right to use the Services ceases immediately.

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Services shall be resolved in the state or federal courts located in Delaware.

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any right does not waive that right. These Terms constitute the entire agreement between you and TixFlo regarding the Services.
